Terms and Conditions

The U-Pull-And-Pay Parts Perks Rewards Program (“Program”) is a promotional program offered by U-Pull-And-Pay, a Delaware limited liability company (“UPAP”), as a benefit to its customers. Participation in the Program is subject to the following Terms and Conditions. Any participation in the Program constitutes an agreement to these Terms and Conditions.

1. General. Enrollment in the Program allows participants to earn Program Points that are redeemable for future qualifying purchases at participating UPAP locations (“Program Participants”). Points issued under the Program have no cash value and are redeemable only to the extent provided in these Terms and Conditions.

2. Eligibility. Program membership is available to U.S. and Canada residents 18 years of age or older. Program enrollment is limited to one membership per individual. UPAP, at its sole discretion, reserves the right to revoke any person’s membership eligibility at any time. U-Pull-And-Pay employees are not eligible for the program.

3. Enrollment. Enrollment in the Program is free. To register, Program Participants must provide their full name, zip code, phone number and age range. Following their initial registration, Program Participants will enter their phone number at the time of purchase to accrue Program Points. Program Participants may unsubscribe from email and text message communications by clicking the “unsubscribe” link in any UPAP email or by replying “STOP” to any UPAP text communication. Program Participants may also opt-out of the Program at any time by visiting a participating UPAP location.

4. Earning Points. Program Participants earn Program Points on the purchase of parts at participating UPAP Locations:

Program Points are not earned on the following:

  • Applicable state and federal taxes
  • Bulk Sale Items
  • Environmental fees
  • Exporters
  • Purchases paid using Rewards Points
  • Resale Vehicles
  • Shipping and delivery charges
In the event of the return of any product, service, or admission for which Program Points were earned, a corresponding number of Program Points will be deducted from the Program Participant’s account. Program Participants may track their point total online or via receipts.

5. Calculating Points. Program Participants will earn 1-point for each dollar spent on any qualifying purchase at a participating UPAP location. Points will be rounded to the lowest whole dollar amount for qualifying purchases. For example, a $10.00-$10.99 qualifying purchase will yield 10 Program Points.

6. Redeeming Points.
  • a. Participating Locations: Cincinnati, Ohio; West Palm Beach, Florida; Orlando, Florida; Albuquerque, New Mexico; Aurora, Colorado; Denver, Colorado; Colorado Springs, Colorado; Indianapolis, Indiana; Phoenix, Arizona; Pittsburgh, Pennsylvania and Houston, Texas.
  • b. Redemption. Under the Program, Program Participants will earn $50 in-store credit per every 1,000 Points earned.
  • c. Accrual. Allow up to one week for points to be added to your account.
7. Expiration of Points. Program Points will expire after 24 months.

8. Privacy Policy. Membership is subject to the terms in UPAP’s Privacy Policy. By enrolling in the Program, Program Participants authorize UPAP and its affiliate companies to access and share information about the Program Participant’s account as is necessary to administer, enforce, and fulfill the Program consistent with UPAP’s Privacy Policy and these Terms and Conditions.

9. Amendments or Cancellation of the Program. UPAP reserves the right to amend these Terms and Conditions, including the number of Points required to obtain a particular award under the Program, without providing notice to Program Members. UPAP also reserves the right to cancel, amend, or discontinue the Program at any time without notice.

10. Dispute Resolution. By enrolling in the Program and receiving the benefits therein, Program Participants agree to resolve any claim or dispute relating to the Program by binding arbitration. As such, by enrolling in the Program the Program Participant agrees to these Terms and Conditions and expressly waives the right to resolve any claim or dispute arising from the Program.

11. Legal. These Terms and Conditions are governed by Ohio law. These Terms and Conditions and UPAP’s Privacy Policy constitute the entirety of the agreement between UPAP and its members regarding the Program and its benefits. Aides from UPAP’s Privacy Policy, no other document, representation or publication is intended to be incorporated into these Terms and Conditions. No person or entity is authorized to amend or alter these Terms and Conditions, except if such amendment or alteration is expressly approved in writing by a duly-appointed officer of UPAP or its parent corporation. These Terms and Conditions will bind and inure to the benefit of each party’s successors and permitted assigns.

Your use of this Short Message Service or SMS text messages (the “Service”) constitutes your agreement to these Terms and Conditions. Please read carefully these Terms and Conditions before subscribing to the Service. Our Privacy Policy and Terms of Use also apply to your use of the Service. We may amend these Terms and Conditions, and modify or cancel the Service or any of its features without notice. Any such modifications will be effective immediately upon posting the updated version. By continuing the use of the Service, you agree to these modifications. We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your mobile operator. Message & Data Rates May Apply.

About the Service

By signing up for the Service, you agree to receive recurring marketing text messages via the use of an automatic telephone dialing system, or autodialer, from UPAP. Promotional messages may include alerts regarding new inventory, sales, exclusive deals, and more. You may receive approximately 3 messages per month. Consent to receive text messages is not required as a condition of any purchase. Reply HELP to 999999 for help, and STOP to 999999 to unsubscribe. Message and data rates may apply.

Unsubscribing from the Service

To stop the service and cease receiving text messages at any time, please text STOP to 999999. You’ll receive a one-time opt-out confirmation text message. After that you will not receive any future messages unless and until you re-subscribe to the Service. You agree to provide us with a valid mobile number. If you change your mobile phone number, you agree to opt out of the Service prior to changing your mobile number. The Service may not be available for all service providers or for all Devices. The mobile operators participating in the Service include, but are not limited to AT&T, Sprint, Virgin Mobile, T-Mobile (T-Mobile is not liable for delayed or undelivered messages), MetroPCS (GSM), U.S. Cellular, and Verizon Wireless. If your mobile operator is not participating, you will not receive a reply to your messages. Some operators may not support some services at the process offered. Pre-paid users may not be able to participate. Please check with your mobile operator. We make no representation, warranty or guarantee that a particular wireless service provider will enable you to participate in the Service. We may, in our sole discretion, add or delete a cellular carrier at any time, with or without notice. Should you choose to exercise your right to delete your personal information under the California Consumer Privacy Act of 2018 and its implementing regulations (collectively, the “CCPA”), your phone number will be deleted and you will no longer receive recurring marketing messages. Once your phone number is deleted, you will no longer be subscribed to the Service.

You agree to indemnify, defend, and hold us harmless from any third-party claims, liability, damages or costs arising from your use of the Service or from you providing us with a phone number that is not your own. You agree that we will not be liable for failed, delayed, or misdirected delivery of, any information sent through the Service; any errors in such information; any action you may or may not take in reliance on the information or service.

Other Limitations

Currently, the Service is only available to legal residents of the United States. You may not subscribe, access, or attempt to access or use the Service from countries outside the United States. You must be 18 years of age or older to receive messages. We reserve the right to require you to prove that you are at least 18 years of age if so requested.


These Terms and Conditions contain a predispute arbitration clause. By agreeing to these Terms and Conditions, and using the Service, you agree as follows: Arbitration awards are generally final and binding; a party’s ability to have a court reverse or modify an arbitration award is very limited.

The ability of the parties to obtain documents, witness statements, and other discovery is generally more limited than in court proceedings.

The rules of the arbitration forum in which the claim is filed, and any amendments thereto, shall be incorporated into these SMS Text Alerts Terms and Conditions.

No person will bring a putative or certified class action to arbitration, nor seek to enforce any predispute arbitration agreement against any person who has initiated in court a putative class action; or who is a member of a putative class who has not opted out of the class with respect to any claims encompassed by the putative class action until: (1) the class certification is denied; (2) the class is decertified; or (3) the client is excluded from the class by a court. Such forbearance to enforce an agreement to arbitrate will not constitute a waiver of any rights under these Terms and Conditions except to the extent stated herein.

You agree that any controversy between you and UPAP arising out of or relating to these Terms and Conditions, and the Service, and whether arising before or after the date of these Terms and Conditions, shall be arbitrated and conducted under the provisions and rules of the American Arbitration Association (AAA). If any party unsuccessfully resists confirmation or enforcement of an arbitration award rendered under these Terms and Conditions, then that party shall pay all costs, attorneys’ fees, and expenses incurred by the other party or parties in confirming or enforcing the award. Arbitration must be initiated by service upon the other party of a written demand for arbitration or notice of intention to arbitrate. Judgment, upon any award rendered by the arbitrator, may be entered in any court having jurisdiction. This arbitration provision is applicable only to the Service, and does not impact or modify any arbitration provisions or agreements you may have with UPAP. In the event you cancel or unsubscribe from the Service, your other agreements with UPAP will not be impacted or modified in any respect.

Privacy Policy

Effective Date: March 1, 2019

U-Pull-And-Pay (“UPAP”) is committed to protecting the personal information of the members enrolled in its U-Pull-And-Pay Parts Perks Rewards Program (“the Program”). Accordingly, UPAP takes precautionary measures to safeguard personal information and to comply with all applicable federal and state privacy laws.

1. Account Registration and Login. To participate in the Program, users (“Program Participants”) will be required to register for a personal account (“Account”). Account registration requires personal information, including full name, zip code, phone number, and age range.

2. Text and Email Notifications. UPAP may use Program Participants’ personal information to send marketing or promotional communications via email or text message. Personal information may also be used to send communications regarding a Program Participants’ Account. Program Participants who do not wish to receive marketing communications may unsubscribe from UPAP’s email list by clicking on the unsubscribe link found at the bottom of any UPAP marketing email. Program Participants may also unsubscribe from text messaging communications by replying “STOP” to any received UPAP text message.

3. Retention of Personal Information. In general, UPAP retains Program Participant information indefinitely; however, UPAP is not obligated to retain Program Participants’ personal information and may delete it at any time. Under Ohio law, when a Program Participant’s Account is cancelled or is otherwise terminated, UPAP may, but is not obligated to, delete any personal information obtained through a Program Participant’s enrollment in the Program. Following cancellation or termination, UPAP also reserves the right to continue its use of the personal information in accordance with the terms of this Privacy Policy.

4. Information Security. Keeping Program Participant’s personal information safe is a priority for UPAP. UPAP has security mechanisms in place to ensure that each Program Participant’s personal information remains secure. However, Program Participants providing personal information by enrolling in the Program acknowledge and accept the risk of unauthorized access, use, and disclosure of personal information that may occur despite UPAP’s compliance with this Policy and its security guidelines.

5. Accessing and Updating Personal Information. Program Participants wishing to update the information in their Account may do so by visiting a participating UPAP location.

6. Modification of this Policy. UPAP may, at its sole discretion, update the terms of this Privacy Policy. In the event of a change, UPAP will revise the “Effective Date” located at the top of this Privacy Policy. Participating Program Participants are encouraged to periodically check this Privacy Policy in order to stay informed on any possible modifications.
